CarrierFile Terms of Service

1. Acceptance

By creating an account, starting a trial, or paying for a subscription, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.


2. Who We Are

CarrierFile.com (“CarrierFile,” “we,” “us”) provides web-based tools for the American cargo industry. We are not a law firm, CPA, or government agency and do not provide legal, tax, or professional advice.


3. Eligibility & Accounts

You must be at least 18 years old, provide accurate information, and keep your credentials secure. You are responsible for all activity under your account.

The Service is intended solely for use by customers and motor carriers operating in the United States. By using the Service, you represent that you are based in the United States and that your use complies with all applicable U.S. federal, state, and local laws.

We do not represent that the Service is appropriate or available outside the United States. If you access the Service from outside the United States, you do so at your own risk and are responsible for compliance with local laws.

6. Payment Processing

Payments are processed by Stripe, Inc. (“Stripe”). We do not store full credit card numbers or CVV codes. Stripe handles payment security under PCI-DSS standards. We may suspend or terminate access for failed payments or chargebacks.

You grant us a non-exclusive, worldwide, royalty-free license to host, process, and display your data solely to provide the Service.


9. Service Rules

You may not misuse the Service, reverse-engineer it, scrape data, exceed fair-use limits, infringe rights, or use the Service unlawfully.


10. Intellectual Property

The Service and all related intellectual property belong to CarrierFile or its licensors. No rights are transferred except the limited right to use the Service.


11. Third-Party Services

We may rely on third-party services and are not responsible for their availability or actions.


12. Confidentiality & Security

We use reasonable safeguards, but no system is completely secure. You are responsible for securing your devices and credentials.


13. Compliance & Recordkeeping

You are responsible for regulatory compliance and recordkeeping. The Service must not be used to store PHI or HIPAA-regulated data.


14. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES TO THE MAXIMUM EXTENT PERMITTED BY LAW. OUTPUTS MAY CONTAIN ERRORS OR BECOME OUTDATED.


15. Limitation of Liability

We are not liable for indirect or consequential damages. Total liability is limited to fees paid in the preceding 12 months. Nothing excludes liability for fraud or intentional misconduct.


16. Indemnification

You agree to indemnify CarrierFile against claims arising from your misuse of the Service.


17. Force Majeure

We are not liable for delays caused by events beyond our reasonable control. Either party may terminate if such an event lasts more than 30 days.


18. Suspension & Termination

We may suspend or terminate access for violations or non-payment. Upon termination, access ceases and outstanding fees become due. Certain sections survive termination.


19. Changes to the Service & Terms

We may modify the Service or these Terms with advance notice. Continued use constitutes acceptance.


20. Governing Law; Venue; Disputes

CarrierFile’s parent company is organized under Wyoming law. These Terms are governed by Wyoming law.

Disputes are resolved by binding arbitration under AAA Commercial Rules in Wyoming. Arbitration is individual only. No class actions are permitted. Either party may pursue small-claims matters or injunctive relief.

You may opt out of arbitration within 30 days by emailing support@carrierfile.com.


21. Export & Sanctions

You represent compliance with U.S. export and sanctions laws.


22. Notices

Notices may be sent by email or in-app message.


23. Entire Agreement

These Terms constitute the entire agreement. If any provision is unenforceable, the remainder remains in effect.
